Introduction
These Terms of Service govern the relationship between Tear ("we," "our," or "us") and you, the client ("you" or "your"). By engaging our services, you agree to these Terms.
Services
We provide web design and development services as outlined in your project proposal or agreement. All work will be delivered according to the timeline specified in your proposal, which may be adjusted by mutual agreement.
Client Responsibilities
You agree to provide necessary content and materials in a timely manner, review design concepts promptly, and designate a primary contact person. You are responsible for ensuring the legality of all content provided for your website.
Payment Terms
Unless otherwise specified, payment is 50% deposit before work begins and 50% upon completion, prior to website launch. Payments not received within 14 days of the invoice date will incur late fees.
Intellectual Property
You retain all rights to content you provide. Upon full payment, you will own the rights to custom design elements created specifically for your project. We retain ownership of proprietary tools and code libraries not created specifically for your project.
Revisions and Changes
Your project includes revisions as specified in your proposal. Additional changes beyond the original scope will be billed at our standard hourly rate.
Website Launch, Hosting, and Maintenance
Websites will not be published until final approval is received and full payment is made. Website maintenance is not included unless specified in a separate agreement.
Termination
Either party may terminate services with written notice. You will be billed for work completed up to the termination date. We reserve the right to terminate services for any reason.
Limitation of Liability
Our liability is limited to the amount paid for services. We are not liable for indirect or consequential damages.
Confidentiality
We will not disclose your confidential information to third parties except as required to fulfill our services.
Governing Law
These Terms are governed by the laws of Ontario, Canada.
Changes to Terms
We reserve the right to modify these Terms. Changes will be effective upon notification to clients.
